Terms of Use for Brands
By subscribing to and using the Toronto Creator Platform (“Toronto Creator”), you (the “Brand”) agree to the following terms and conditions. By checking the acceptance box and submitting payment, you acknowledge that you have read, understood, and agree to these Terms of Use. You also acknowledge that the specific details of your subscription — including duration, payment terms, and access privileges — are as selected on the platform or outlined in your chosen plan.
These terms constitute a binding agreement between the Brand and Toronto Creator Inc. (“we,” “us,” or “our”), governing your access to and use of our services that connect your Brand with verified local creators for collaborations, promotions, and other marketing opportunities.

Terms of Use for Brands
By subscribing to and using the Toronto Creator Platform (“Toronto Creator”), you (the “Brand”) agree to the following terms and conditions. By checking the acceptance box and submitting payment, you acknowledge that you have read, understood, and agree to these Terms of Use. You also acknowledge that the specific details of your subscription — including duration, payment terms, and access privileges — are as selected on the platform or outlined in your chosen plan.
These terms constitute a binding agreement between the Brand and Toronto Creator Inc. (“we,” “us,” or “our”), governing your access to and use of our services that connect your Brand with verified local creators for collaborations, promotions, and other marketing opportunities.

Platform Services and Collaborations
Platform Services:
Toronto Creator provides an online platform where Brands can connect with verified local creators to build and manage marketing campaigns (“Collaborations”). Brands specify the type of creators they wish to work with and outline the campaign objectives and details directly through the platform. Creators can then apply to participate in these Collaborations based on their interests, audience, and relevance.
Collaborations:
A Collaboration refers to a campaign or opportunity that a Brand posts on the Toronto Creator platform for creators to join. Each Collaboration may include a defined number of creator slots, typically organized on a monthly or campaign basis. Creators may (a) apply and be manually approved by the Brand, or (b) be automatically accepted if the Brand’s plan or campaign settings allow auto-accept. When auto-accept is enabled, eligible creators who meet the specified Collaboration criteria are automatically added until all available slots are filled. Brands can disable auto-accept (if supported by their plan) or remove an auto-accepted creator prior to posting or scheduling, following the applicable cancellation or adjustment policies.
Deliverables:
For each Collaboration, the Brand and participating creators agree upon specific deliverables — such as creating and posting promotional content (e.g., Instagram Reels, TikTok videos, Stories, or posts) featuring the Brand’s products or services. The exact requirements (content type, post frequency, timing, hashtags, disclosure guidelines, etc.) are defined in the Collaboration details as provided on the platform. Toronto Creator facilitates the connection and coordination process but does not act as an agency or creative director in the production of content.
Content Quality:
Creators are expected to produce original, authentic content that reflects their genuine experience with the Brand’s offering. While Toronto Creator provides tools and guidelines to help align expectations, the Brand acknowledges that Toronto Creator does not control or guarantee the creative direction, tone, or results of the creator’s content beyond the agreed-upon Collaboration details.

Confidentiality
During your use of the Toronto Creator platform, you may share or receive confidential business information, including but not limited to marketing strategies, campaign details, sales data, pricing information, or other proprietary materials. All confidential information exchanged between Brands, creators, and Toronto Creator must be treated as strictly confidential and used solely for the purposes of managing or executing a Collaboration.
Each party agrees not to disclose, share, or use another party’s confidential information for any purpose outside of the Toronto Creator platform and its related services, except with explicit written consent or as required by law. Both Brands and creators are expected to handle sensitive information responsibly and respect the privacy and intellectual property of all parties involved.

Confidentiality
During your use of the Toronto Creator platform, you may share or receive confidential business information, including but not limited to marketing strategies, campaign details, sales data, pricing information, or other proprietary materials. All confidential information exchanged between Brands, creators, and Toronto Creator must be treated as strictly confidential and used solely for the purposes of managing or executing a Collaboration.
Each party agrees not to disclose, share, or use another party’s confidential information for any purpose outside of the Toronto Creator platform and its related services, except with explicit written consent or as required by law. Both Brands and creators are expected to handle sensitive information responsibly and respect the privacy and intellectual property of all parties involved.

Intellectual Property and Content Rights
Ownership of Creator Content
Creators retain full ownership of all rights, including intellectual property rights, in the content they produce as part of a Collaboration. As a Brand, you are granted a limited, non-exclusive license to use the creator’s content only as explicitly permitted by the Collaboration terms — for example, for reposting on approved social media channels, within agreed time frames, or as otherwise specified in the campaign details. Unless otherwise agreed in writing, Brands do not automatically obtain ownership of the creator’s raw content or underlying assets simply by participating in a Collaboration.
Re-Marketing and Usage Rights
If a creator offers additional content usage rights — such as paid advertising, whitelisting, or extended licensing — the Brand may purchase those re-marketing rights directly through the Toronto Creator platform for an additional fee set by the creator. These rights, once purchased, grant the Brand permission to repurpose or redistribute the creator’s content for broader marketing use as defined in the purchased license.
No Exclusive Rights
Unless expressly stated in the Collaboration terms, the Brand does not receive exclusive rights to the creator’s content or endorsement. Creators remain free to collaborate with other brands, including competitors, and may independently use or share their content outside the scope of any specific Collaboration. This ensures creators maintain creative and professional independence while fostering authentic partnerships within the Toronto Creator community.

Intellectual Property and Content Rights
Ownership of Creator Content
Creators retain full ownership of all rights, including intellectual property rights, in the content they produce as part of a Collaboration. Subscription Term & Renewal
Initial Term (3-Month Minimum)
All Brand subscriptions on Toronto Creator begin with a minimum commitment of three (3) months (the “Initial Term”), starting on the date of purchase. During this Initial Term, the subscription cannot be canceled, paused, or refunded. All fees for this period are non-refundable and fully earned upon payment.
Automatic Renewal
At the end of the Initial Term, your subscription will automatically renew for successive periods of the same duration and under the same terms, unless canceled in advance. You may cancel future renewals at any time by visiting Settings → Billing → Cancel Subscription, or by sending written notice to apply@torontocreator.com at least seven (7) days before the start of your next renewal period.
Non-Cancellable Period
Each subscription term—whether initial or renewal—is considered non-cancellable once payment has been made. Fees are non-refundable, and the term will continue until its scheduled end date. Toronto Creator does not offer pro-rated refunds or credits for mid-term cancellations.
Early Termination
If a Brand terminates or breaches its subscription before the end of a paid term, an early termination fee equal to the remaining balance of that term will apply. This fee becomes immediately due and payable upon early termination to fairly compensate Toronto Creator for the Brand’s commitment to the full subscription period.

Subscription Term & Renewal
Initial Term (3-Month Minimum)
All Brand subscriptions on Toronto Creator begin with a minimum commitment of three (3) months (the “Initial Term”), starting on the date of purchase. During this Initial Term, the subscription cannot be canceled, paused, or refunded. All fees for this period are non-refundable and fully earned upon payment.

Non-Cancellable Period
Each subscription term—whether initial or renewal—is considered non-cancellable once payment has been made. Fees are non-refundable, and the term will continue until its scheduled end date. Toronto Creator does not offer pro-rated refunds or credits for mid-term cancellations.
Early Termination

This fee becomes immediately due and payable upon early termination to fairly compensate Toronto Creator for the Brand’s commitment to the full subscription period.

Compliance with Canadian Advertising Guidelines
Toronto Creator and all users of the platform — including both Brands and creators — must comply with all applicable Canadian advertising laws and regulations, including those established by the Competition Bureau of Canada, Ad Standards, and other relevant authorities. These rules are designed to ensure honesty, transparency, and consumer trust in advertising. The following standards apply to all Collaborations conducted through the Toronto Creator platform:
Truthful Representation
Creators must provide honest and accurate representations of their opinions and experiences. Any endorsement or review must reflect the creator’s genuine experience with the Brand’s products or services, without exaggeration or fabrication. Brands must not pressure creators to make false or misleading claims in their content.
No Fake Testimonials
Both Brands and creators are prohibited from producing or publishing fake, deceptive, or misleading testimonials. Misrepresenting a person’s identity or experience — for instance, fabricating a “customer review” or asking a creator to pretend to be a neutral consumer — is strictly forbidden. All promotional content must stem from real experiences and authentic voices.
Disclosure of Material Connections
Creators and Brands must clearly disclose any material connection between them when publishing promotional content. This includes payments, gifts, free products, or any form of compensation. Disclosures must be clear, prominent, and easy to understand, using appropriate labels such as #ad, #sponsored, or “Sponsored by [Brand Name]”. Transparent disclosure is required under Canadian law to ensure consumers are not misled.
No Review Suppression
Brands may not attempt to hide, censor, or discourage honest feedback from creators or consumers. Brands cannot require creators to withhold negative opinions, though promotional content will naturally focus on positive experiences. Similarly, Toronto Creator will not remove or conceal legitimate content — positive or negative — at the request of a Brand, except where it violates platform policies, community standards, or these Terms of Use.
No Artificial Engagement or Follower Inflation
Purchasing or using fake followers, engagement, or metrics to artificially boost the reach or perceived influence of a post is strictly prohibited. Toronto Creator values transparency and authenticity — creators are expected to have genuine, organic audiences, and Brands must not encourage or participate in practices that distort performance metrics. Such actions violate Canadian advertising standards and may result in account suspension or termination.
Enforcement
All participants on the Toronto Creator platform agree to follow these compliance standards. Any violation may result in suspension or termination of your account, removal of related content, and potential legal consequences under Canadian law. Toronto Creator reserves the right to remove content or end any Collaboration that, in our sole judgment, fails to meet these ethical and legal requirements.

Miscellaneous
Severability
If any provision of this Agreement is found to be invalid or unenforceable by a court or other authority of competent jurisdiction, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable. All remaining provisions of this Agreement will continue to remain in full force and effect.
No Waiver
No waiver by Toronto Creator of any term, condition, or breach of this Agreement shall be effective unless made in writing. Any failure or delay by Toronto Creator in enforcing a provision or exercising a right shall not be interpreted as a waiver of that right, nor shall it prevent future enforcement of the same or any other provision.
Assignment
Brands may not assign or transfer their rights or obligations under this Agreement without the prior written consent of Toronto Creator Inc. Toronto Creator may assign this Agreement, in whole or in part, as part of a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law. This Agreement will be binding upon and benefit all permitted successors and assigns of the parties.
Notices
Except where otherwise specified in this Agreement, all notices should be sent by email to apply@torontocreator.com (for notices to Toronto Creator) or to the email address associated with your Brand account (for notices to you). It is the Brand’s responsibility to keep its contact information accurate and up to date. Notices will be considered delivered once sent, except that notice of termination or indemnifiable claims will require confirmation of receipt.
Headings
The section titles and headings in this Agreement are for convenience only and do not affect the meaning or interpretation of any provision within this Agreement.
Acceptance
By accepting these Terms of Use, you acknowledge that you have read, understood, and agreed to be bound by all terms contained herein. If you have any questions or require clarification regarding these Terms, please contact us at apply@torontocreator.com prior to accepting. Continued use of the Toronto Creator platform signifies your full acceptance of this Agreement and its terms.

Miscellaneous
Severability
If any provision of this Agreement is found to be invalid or unenforceable by a court or other authority of competent jurisdiction, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable. All remaining provisions of this Agreement will continue to remain in full force and effect.
No Waiver
No waiver by Toronto Creator of any term, condition, or breach of this Agreement shall be effective unless made in writing. Any failure or delay by Toronto Creator in enforcing a provision or exercising a right shall not be interpreted as a waiver of that right, nor shall it prevent future enforcement of the same or any other provision.
Assignment
Brands may not assign or transfer their rights or obligations under this Agreement without the prior written consent of Toronto Creator Inc. Toronto Creator may assign this Agreement, in whole or in part, as part of a merger, acquisition, corporate reorganization, or sale of assets, or by operation of law. This Agreement will be binding upon and benefit all permitted successors and assigns of the parties.

Except where otherwise specified in this Agreement, all notices should be sent by email to apply@torontocreator.com (for notices to Toronto Creator) or to the email address associated with your Brand account (for notices to you). It is the Brand’s responsibility to keep its contact information accurate and up to date. Notices will be considered delivered once sent, except that notice of termination or indemnifiable claims will require confirmation of receipt.
